Eubelius assists SFPI/FPIM and Sabena Aerospace with the incorporation of Blueberry and the public takeover bid for SABCA

Belgium has a new aerospace group: Blueberry, a new holding company that brings together the activities of Sabena Aerospace and SABCA. On 17 June 2020, Blueberry was incorporated and all operational activities of Sabena Aerospace were contributed to Blueberry. On 18 June 2020, the new holding company purchased a 96.85% stake in the listed company SABCA for a total of more than EUR 74 million from the French aircraft manufacturer Dassault. Blueberry’s shareholders are SFPI/FPIM and Sabena Aerospace.

Blueberry will now take SABCA private by means of a mandatory public takeover bid followed by a squeeze-out. The prospectus has been published today.

Eubelius assisted SFPI/FPIM, Sabena Aerospace and Blueberry throughout the entire process.

The Eubelius team was led by Jeroen Delvoie, Filip Jenné and Steven Declercq, as well as by Joris De Wolf and Vincent Chantillon in relation to the public takeover bid and the delisting. The application for merger clearances in various jurisdictions was coordinated by Jan Bocken and his team.
